Terms of Service

1. Acceptance of Terms

By accessing, registering on, or using the Voyomi platform (“Platform”, “Service”), you (“User”, “Merchant”, or “Guest”) confirm that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”). This constitutes a valid electronic contract under the Electronic Commerce Act of 2000 (Republic Act No. 8792). Your click-through acceptance is equivalent to a written signature. If you do not agree to these Terms, do not use the Service.

These Terms apply to all users including hotel operators, travel agencies, and guests. Additional role-specific obligations are described in the relevant sections below.

2. Regulatory Framework

By using this Platform, you agree to comply with all applicable laws of the Republic of the Philippines, including but not limited to:

  • Internet Transactions Act of 2023 (RA 11967) — Platform transparency, consumer rights, redress mechanisms, and DTI E-Commerce Bureau obligations.
  • Electronic Commerce Act of 2000 (RA 8792) — Recognition of electronic documents, signatures, and contracts.
  • Data Privacy Act of 2012 (RA 10173) — Collection, use, and protection of personal data; NPC compliance.
  • Consumer Act of the Philippines (RA 7394) — Fair trade practices, consumer rights, product/service standards, and prohibition of deceptive conduct.
  • Cybercrime Prevention Act of 2012 (RA 10175) — Prohibited online conduct including unauthorized access, fraud, and data interference.
  • Intellectual Property Code (RA 8293) — Ownership and licensing of content on or through the Platform.
  • Civil Code of the Philippines (RA 386) — Contract formation, obligations, and remedies.
  • National Internal Revenue Code (NIRC) — Taxation, VAT, and BIR reporting obligations.
  • Anti-Money Laundering Act (RA 9160, as amended) — Know-Your-Customer (KYC) requirements and suspicious transaction reporting.
  • Bangko Sentral ng Pilipinas (BSP) circulars — Payment system standards and Operator of Payment Systems (OPS) requirements.
  • Joint Administrative Order No. 22-01 — Multi-agency guidelines for online business operations (DTI, DOH, and other agencies).

3. Platform Description & Scope

Voyomi is an internet-based hotel CRM, booking, and payout-settlement platform operated by Voyomi (“we”, “us”, “our”). The Platform facilitates:

  • Hotel and room inventory management and booking
  • Guest discovery, reservation, and check-in workflows
  • Travel agency B2B booking and commission settlement
  • Payout disbursements to hotels via PayMongo (InstaPay/PESONet)
  • Payment collection from guests via card (Stripe) or QR (PayMongo)

Voyomi acts as a technology intermediary. We do not own or operate any of the hotels listed on the Platform. Hotels and agencies are independent third parties responsible for their services.

4. User Eligibility & Account Obligations

You must be at least 18 years of age and legally capable of entering contracts under Philippine law. By registering, you represent that:

  • All information provided during registration is accurate, complete, and current.
  • You will promptly update your account information if circumstances change.
  • You are responsible for all activity that occurs under your account credentials.
  • You will not share login credentials or permit unauthorized use of your account.
  • You will notify us immediately at contact@voyomi.app of any unauthorized access.

5. Merchant Obligations (Hotels & Agencies)

Merchants (hotel operators and travel agencies) registering on the Platform must comply with RA 11967 and agree to the following obligations:

  • Maintain valid DTI or SEC business registration.
  • Maintain current BIR registration (Certificate of Registration).
  • Provide a valid Tax Identification Number (TIN).
  • Provide a VAT Certificate if VAT-registered; otherwise withholding tax may apply per BIR regulations.
  • Issue BIR-compliant official receipts or electronic invoices for all transactions.
  • Provide accurate Know-Your-Customer (KYC) information per AMLC guidelines and notify the Platform of any material changes.
  • Cooperate with compliance audits, regulatory inquiries, or verification requests from Voyomi or government agencies.
  • Conduct all business activities in accordance with Philippine law and refrain from deceptive, unfair, or prohibited practices as defined under RA 7394 and RA 11967.
  • Indemnify Voyomi for any regulatory violations attributable to the merchant.

6. Consumer Rights & Prohibited Practices

In accordance with RA 7394 and RA 11967, all users have the right to accurate information, fair pricing, and accessible redress. The following are strictly prohibited on the Platform:

  • Misrepresentation of room types, amenities, availability, or pricing.
  • False advertising or deceptive promotional claims.
  • Bait-and-switch tactics (advertising one price and charging another).
  • Discriminatory pricing or refusal of service without lawful justification.
  • Unauthorized collection or use of guest personal data.

Guests have the right to file complaints with Voyomi, the DTI E-Commerce Bureau, or the BSP (for payment-related disputes). Refer to Section 12 for the dispute resolution process.

7. Payment & Settlement Terms

All payments are processed through registered payment gateways. Philippine peso (PHP) transactions may be processed via PayMongo (QR rails) or Stripe (card rails), including purchases by international buyers. International or foreign-currency transactions may use Stripe.

  • Hotel payouts are disbursed via PayMongo Disbursements (InstaPay/PESONet) on a weekly settlement schedule (every Friday).
  • Commission payments to Voyomi are subject to BIR withholding tax as applicable. VAT-registered merchants must provide a valid VAT Certificate to avoid withholding.
  • Voyomi may withhold or delay disbursements where fraud, chargebacks, or regulatory holds are identified.
  • Refunds are subject to the hotel’s cancellation policy and processed within the applicable gateway’s refund window.

8. Tax Compliance

Merchants acknowledge their independent tax obligations under Philippine law:

  • Commission fees paid to Voyomi may be subject to 12% Value-Added Tax (VAT) where applicable.
  • Withholding tax on commission income: 0–2% depending on merchant VAT registration status, remitted to the BIR by Voyomi as the withholding agent.
  • Merchants are solely responsible for their own income tax, local business tax, and other BIR obligations arising from revenue earned through the Platform.
  • Voyomi will issue a Certificate of Creditable Tax Withheld at Source (BIR Form 2307) where withholding tax is applied.

9. Intellectual Property

All Platform software, trademarks, logos, and content created by Voyomi are owned by Voyomi and protected under RA 8293 (Intellectual Property Code). You may not reproduce, distribute, or create derivative works without express written consent.

By uploading content to the Platform (e.g., room photos, descriptions), you grant Voyomi a non-exclusive, royalty-free, worldwide licence to use, display, and distribute such content solely for operating the Service. You represent that you own or have the right to upload such content.

10. Data Processing & Privacy

Voyomi processes personal data in accordance with the Data Privacy Act of 2012 (RA 10173) and regulations of the National Privacy Commission (NPC). Your rights include access to, correction of, and deletion of your personal data.

11. Prohibited Conduct

In addition to the prohibited practices in Section 6, the following conduct is prohibited under RA 10175 (Cybercrime Prevention Act) and RA 8792, and will result in immediate account termination and may be reported to law enforcement:

  • Unauthorized access to accounts, systems, or data (“hacking”).
  • Introducing malware, viruses, or any code designed to disrupt Platform operations.
  • Fraudulent transactions, chargebacks abuse, or money laundering through the Platform.
  • Scraping, automated harvesting, or reverse-engineering of Platform data or APIs without written permission.
  • Impersonation of Voyomi staff, other merchants, or guests.

12. Dispute Resolution

Disputes shall be resolved using the following tiered approach, per RA 9285 (Alternative Dispute Resolution Act):

  1. Direct Negotiation (7–14 days): Contact contact@voyomi.app to attempt informal resolution.
  2. Platform Internal Escalation (14–30 days):Voyomi’s compliance team conducts a formal review and issues a written determination.
  3. Arbitration (30–90 days): If unresolved, disputes shall be submitted to arbitration under the Philippine Dispute Resolution Center, Inc. (PDRCI) or a mutually agreed arbitrator, seated in Metro Manila, Philippines.
  4. Court Jurisdiction: As a final recourse, disputes may be brought before the proper courts (see Section 14).

For payment-related disputes, guests and merchants may also file complaints with the Bangko Sentral ng Pilipinas (BSP) Consumer Assistance Mechanism.

13. Limitation of Liability

To the maximum extent permitted by Philippine law, Voyomi’s aggregate liability for any claim arising out of or in connection with these Terms shall not exceed the total fees paid by the claimant to Voyomi in the three (3) months immediately preceding the event giving rise to the claim.

Voyomi is not liable for: (a) indirect, incidental, or consequential damages; (b) loss of profit or revenue; (c) acts or omissions of hotels, agencies, or payment processors; or (d) force majeure events. Nothing in this clause limits liability for fraud or gross negligence.

14. Venue of Action

Any legal action not resolved through arbitration (Section 12) shall be filed exclusively before the proper courts of Metro Manila, Philippines, which the parties expressly agree shall have exclusive jurisdiction over such disputes. This venue clause is required under Philippine law; failure to specify venue results in jurisdiction being determined by execution location or party residence.

15. Governing Law

These Terms are governed exclusively by the substantive laws of the Republic of the Philippines, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Amendments

Voyomi reserves the right to update these Terms at any time. Material changes will be notified to registered users at least 30 days in advance by email. Continued use of the Platform after the effective date of the revised Terms constitutes acceptance. The current version number and effective date are displayed at the top of this page.

These Terms constitute the entire agreement between you and Voyomi with respect to the Platform. If any provision is held invalid, the remaining provisions continue in full force (severability, Civil Code RA 386 §1191 by analogy).
